Terms & Conditions

The agreement between you and Konvoo. Written to be read: what you are buying, what you owe us, what we owe you, and what happens when either of us wants out.

01The agreement#

These terms form a contract between you and [ TO BE COMPLETED: registered company name ], trading as Konvoo, registered at [ TO BE COMPLETED: registered office address ] under company number [ TO BE COMPLETED: company registration number ]. They apply whenever you use konvoo.in, the Konvoo applications, or our API.

By creating an account or using the service you accept these terms and our Privacy Policy. If you do not accept them, do not use Konvoo.

You must be at least 16 years old, or older where your country requires it. If you are agreeing on behalf of a company, you confirm you have the authority to bind it, and "you" means that company.

02The waitlist on this site#

Konvoo is pre-launch. The only thing running on konvoo.in today is a waitlist, and this section covers it. The sections after it describe the product and take effect for you when you start using it.

  • Nothing on this site is an offer to sell. Joining the waitlist does not create an account, reserve a price, or entitle you to access.
  • What joining promises is a note confirming you joined and a note when there is something to open. No newsletter, no run of follow-up emails, and we do not pass your address to anyone for their own use.
  • We do not promise a launch date and we do not promise you a place in any early group. If the product does not ship, we will say so rather than go quiet.
  • The pages on this site describe how Konvoo is built and what it does. A product still being built still changes, so anything described here can change before launch, and nothing on this site is a warranty that it will behave in a particular way.
  • Use a real address that is yours. We can remove an entry from the waitlist without explaining ourselves, which in practice means obviously fake or abusive signups. To leave, email team@konvoo.in and we delete your entry.

03Your account#

  • Give accurate registration details and keep them current. We use your email address for notices that matter, including changes to these terms.
  • You are responsible for everything that happens under your account. Keep your credentials to yourself and turn on two-factor authentication, which is available on every plan.
  • Tell us at security@konvoo.in as soon as you suspect unauthorised access.
  • Organisation administrators can manage seats, view organisation billing and usage, and remove members. If you joined through an employer, they control that account.

04Plans, seats and AI credits#

Konvoo is sold on plans. Prices, included allowances and feature limits will be published on the Konvoo pricing page when the product goes on sale, and that page forms part of these terms. They live there rather than being repeated here so that a price change can never leave two pages contradicting each other. Nothing is on sale today.

How credits work

  • Credits are the unit we bill AI work in: summaries, action items, analytics and assistant activity. Recording, transcription and having an agent in the meeting are not metered.
  • Included credits are granted monthly and do not roll over. Unused credits expire at the end of each billing month.
  • When credits run out, AI features pause until the next grant. The rest of the product keeps working. You can buy a top-up on the paid plans, up to your plan's cap.
  • Top-up credits are consumed after included credits and are non-refundable once spent.
  • On team plans, credits are pooled across the organisation. One member's heavy month draws on the same wallet as everyone else's.

We may adjust how much AI work a credit buys as model costs change. If a change makes credits materially less generous, we will give you at least 30 days of notice.

05Billing, renewal and cancellation#

  • Paid plans are billed in advance, monthly or annually, through our merchant of record. Prices exclude VAT, GST or sales tax unless stated, and we add these where the law requires.
  • Subscriptions renew automatically at the end of each period at the then-current price, until you cancel.
  • Cancel at any time from your billing settings. Cancellation takes effect at the end of the period you have already paid for. You keep full access until then, and you are not charged again.
  • Adding seats mid-period is charged pro rata. Removing seats takes effect at the next renewal.
  • If a payment fails we will retry and email you. Persistent failure leads to downgrade or suspension, and we will always warn you first.
  • We may change prices with at least 30 days of notice before your next renewal. Your remedy is to cancel before that renewal.

06Acceptable use#

You agree not to:

  • Record anyone without the consent the law requires. Section 7 sets out what that means.
  • Use Konvoo to break the law, infringe someone's rights, or harass, defame or endanger anyone.
  • Upload malware, attempt to breach our security, probe our infrastructure without permission, or circumvent rate limits, credit metering or plan restrictions.
  • Resell, sublicense or white-label the service without our written agreement.
  • Scrape the service, or use it to build a competing product or to train a competing model.
  • Share account credentials between people. Seats are per person.
  • Process special-category data such as health or biometric data in meetings without your own lawful basis and appropriate safeguards.

Good-faith security research is welcome and is not a breach of this section. Report findings to security@konvoo.in and give us reasonable time to fix them.

07Recording and consent#

Konvoo records meetings, transcribes them, and produces written output from what was said. That is the product. It also carries a legal duty, and the duty is yours.

To help, the Konvoo agent joins as a visible participant and appears in the participant list for the whole meeting. It does not record silently. Do not attempt to disguise, rename or hide the agent to conceal that a meeting is being recorded. Doing so is a material breach of these terms and grounds for immediate termination.

You are also responsible for handling requests from participants, for a copy of a recording or for its deletion, where the law gives them that right.

08The AI assistant and the confirmation gate#

Konvoo produces AI output such as transcripts, summaries, action items and analytics, and the Orbit assistant can propose and carry out follow-up work in connected tools.

  • Output can be wrong. Transcription mishears. Summaries omit. An action item can appear that nobody agreed to. AI output is a draft and must be checked before you rely on it, particularly for anything financial, legal, medical or employment-related.
  • Actions need your approval. Before the assistant sends an email, creates a task or writes to a connected system, it presents the action for confirmation. Once you confirm, it executes, and you are responsible for it exactly as if you had done it yourself.
  • Do not automate away the gate. Where you configure standing approvals or automations, you accept responsibility for everything they subsequently do.

Nothing Konvoo generates is professional advice. We are not liable for decisions taken on the strength of AI output without human review.

09Your content#

You keep all rights in your recordings, transcripts, summaries, notebooks and everything else you put into Konvoo. We claim no ownership of it.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, transcribe, process and display your content solely to provide the service to you, for example to transcribe a call, generate a summary, or show a meeting to your teammates. The licence exists so we can run the product and for no other purpose. It ends when you delete the content or close your account, subject to the retention carve-out in the Privacy Policy.

We do not use your content to train AI models. We do not sell it, and we do not share it with anyone beyond the subprocessors listed in the Privacy Policy.

You confirm you have the rights needed to upload and process what you put into Konvoo, including any permission required from the other people in the meeting.

10Our intellectual property#

Konvoo, meaning the software, the interface, the brand, the documentation and everything else we produce, remains ours. These terms grant you a limited, revocable, non-transferable right to use the service on the plan you have paid for, and nothing more.

Do not copy, decompile, reverse-engineer or create derivative works from the service except to the extent the law expressly permits despite this restriction.

If you send us feedback or a feature request, we may use it freely and without obligation. That is not us claiming your data. It only means we can act on a suggestion without owing you anything for it.

11Third-party services and integrations#

Konvoo connects to services you choose, such as calendars, mailboxes, task tools and video providers. When you connect one, you authorise us to exchange data with it on your behalf, within the scopes you grant.

Those services are governed by their own terms and privacy policies. We are not responsible for their availability, their security, or what they do with data once it reaches them. Revoke a connection at any time from your integration settings and we will stop exchanging data immediately.

Where a provider imposes its own rules on what we may do with the data it gives us, we follow those rules as well as these terms. The Google commitments are set out in the Privacy Policy.

12Availability and support#

We work to keep Konvoo available and fast, but we do not offer a contractual uptime guarantee on standard plans. Maintenance, provider outages and incidents happen, and where we can give notice of planned downtime, we will.

Support is by email at team@konvoo.in, with priority handling on the plans that include it. We may change, add or withdraw features. If we retire something you depend on, we will give at least 30 days of notice and, where practical, a way to export your data.

If you need a formal service-level agreement, write to the same address.

13Disclaimers#

To the fullest extent the law allows, Konvoo is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the service will be uninterrupted or error-free, that transcripts or summaries will be accurate or complete, or that defects will be corrected. Nothing here excludes rights that consumer law gives you and does not permit us to exclude.

14Limitation of liability#

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost goodwill, or the cost of substitute services.

Our total aggregate liability arising out of or relating to these terms is limited to the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

15Indemnity#

You will defend and indemnify us against claims, damages and reasonable costs arising from your use of Konvoo in breach of these terms, from content you put into the service, or from recording someone without the consent the law required. We will tell you promptly about any such claim and will not settle it without your agreement.

16Suspension and termination#

  • You may stop using Konvoo and delete your account at any time from your settings.
  • We may suspend or terminate an account that materially breaches these terms, that puts the service or other users at risk, or that we are required by law to suspend. Except where the breach is serious or unlawful, we will warn you and give you a chance to put it right.
  • On termination your right to use the service ends immediately. Export anything you want to keep before you close the account, because we are not obliged to retain it afterwards, except for the records described in the Privacy Policy.
  • Sections that by their nature should survive, meaning content licence limits, intellectual property, disclaimers, liability, indemnity and governing law, survive termination.

17Changes to the service and to these terms#

We may update these terms as the product and the law change. The last updated stamp at the top always reflects the current version, and it is set by hand rather than by the build, so it means what it says.

For material changes we will give at least 30 days of notice by email or in the application. Continuing to use Konvoo after a change takes effect means you accept it. If you do not, cancel before that date and the old terms govern the rest of your paid period.

18Governing law and disputes#

These terms are governed by [ TO BE COMPLETED: governing law ], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of [ TO BE COMPLETED: courts with exclusive jurisdiction ].

If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live, or of your right to bring proceedings there.

Talk to us first. Most disputes are a misunderstanding about billing or a feature, and team@konvoo.in resolves them faster than anything with a filing fee.

General

  • If any provision is held unenforceable, the rest stays in force.
  • Not enforcing a right straight away does not waive it.
  • You may not assign these terms without our consent. We may assign them to a successor in a merger or acquisition.
  • These terms, the Privacy Policy and the pricing page are the entire agreement between us on this subject.

19Contacting us#

Questions about these terms, commercial questions and support all reach a person at team@konvoo.in. Dedicated support and security addresses are being set up. Until they exist, this page publishes the one mailbox that genuinely receives mail rather than an address that would bounce.
